You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for ALL activity that occurs under your account or organization — including activity by team members you invite, permissions you grant, and AI agents you configure or run. Notify us immediately at [email protected] of any unauthorized use of your account.

RacLink provides business software including CRM, invoicing, document storage, and AI-powered agents that can generate content, find leads, send emails, and automate workflows on your instruction.

AI-GENERATED CONTENT IS PROBABILISTIC AND MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE. You are solely responsible for reviewing, verifying, and approving any AI-generated output before relying on it or sending it to any third party. Emails, messages, invoices, analyses, and any other artifacts produced or sent by AI agents at your direction are YOUR communications and YOUR responsibility, as if you had created and sent them yourself. We are not liable for any loss, damage, regulatory exposure, or third-party claim arising from AI outputs or automated actions you initiate, schedule, or configure.

The Services may integrate with third-party providers (including identity, payment, email delivery, AI model, and storage providers). Your use of those integrations is additionally subject to the third parties' terms, and we are not responsible for third-party services, outages, or actions.

Certain features consume platform credits. Credits are a prepaid, limited, non-transferable, revocable license to use metered features of the Services. CREDITS ARE NOT MONEY, HAVE NO CASH VALUE, CANNOT BE EXCHANGED FOR CASH, and may not be sold or transferred outside the platform.

YOU ARE SOLELY RESPONSIBLE FOR HOW CREDITS ARE USED AND CONSUMED IN YOUR ORGANIZATION. The platform provides comprehensive, real-time tools to monitor, limit, allocate, and audit credit usage — including per-member allocations, per-feature limits, daily caps, usage dashboards, and complete transaction history. Any loss, depletion, or unexpected consumption of credits resulting from your usage, your team members' usage, permissions or allocations you configured, automations or AI agents you enabled, or your failure to use the provided monitoring and limiting tools, is your responsibility alone, and RacLink shall not be liable for it.

Credits granted for free (including daily plan grants and promotional credits) may be changed, expired, or withdrawn at any time. Purchased credits remain available for use while your account is in good standing but are subject to the Refund & Cancellation Policy (all sales final).

Prices for plans and credits are displayed before purchase and are computed and charged server-side at the time of order. Payments are processed by our payment provider (Razorpay); we do not store your card details. You authorize the charge for every purchase you initiate. Plan benefits apply for the purchased period only and do not auto-renew; features and limits revert when the period ends.

Any attempt to obtain plan benefits or credits without a verified payment — including exploiting bugs, manipulating client requests, or tampering with billing state — is a material breach of these Terms, may constitute a criminal offense, and will result in immediate termination and reversal of the obtained benefits, without prejudice to our other remedies.

You agree not to: (a) use the Services for any unlawful purpose, including spam, fraud, harassment, or violation of email/marketing laws (e.g. CAN-SPAM, GDPR e-privacy) in any jurisdiction where your recipients reside; (b) attempt to probe, scan, breach, overload, reverse-engineer, or circumvent any security or billing mechanism of the Services; (c) access another customer's data or attempt to; (d) use the Services to develop a competing product; (e) upload malicious code or infringing content; (f) resell or sublicense the Services without our written consent.

You are solely responsible and liable for the content you upload, the recipients you contact, the data you import, and the instructions you give to AI agents. If your use of the Services causes harm to a third party, that is between you and the third party.

We may suspend or terminate access immediately, with or without notice, for any violation of this section, without refund.

You retain ownership of the business data you upload. You grant us the license needed to host, process, transmit, and display it solely to provide the Services (including sending it to the AI model providers you use through the platform).

We implement industry-standard security measures, including encryption of data in transit, encryption of sensitive fields at rest, tenant isolation, and audit logging. HOWEVER, NO SYSTEM IS PERFECTLY SECURE, AND WE DO NOT WARRANT THAT THE SERVICES WILL BE FREE FROM UNAUTHORIZED ACCESS. You are responsible for: your credentials and devices; the permissions, allocations, and integrations you configure; the strength of secrets you connect (API keys, mailboxes); and maintaining your own backups of critical data. To the maximum extent permitted by law, we are not liable for losses arising from compromised user credentials, misconfigured permissions or integrations you control, or your failure to secure your own systems.

The Services, including software, design, and branding, are owned by RacLink and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription. All rights not expressly granted are reserved.

To the extent permitted by law, you own the AI-generated outputs produced from your inputs, subject to third-party model providers' terms, and you accept sole responsibility for their use.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION, THAT DEFECTS WILL BE CORRECTED, OR THAT AI OUTPUTS WILL BE ACCURATE OR FIT FOR ANY PURPOSE.

The Services provide business tooling only and do not constitute legal, tax, accounting, or financial advice. Decisions you make based on the Services (including AI analyses and reports) are yours alone.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) IN NO EVENT SHALL RACLINK, ITS FOUNDERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST CREDITS, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 5,000 IF NO AMOUNTS WERE PAID.

Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, our liability is limited to the smallest amount permitted by law. Nothing in these Terms excludes liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless RacLink and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Services; (b) content, data, or instructions you (or your team or your AI agents) submit, send, or execute; (c) your violation of these Terms or of any law or third-party right; (d) disputes between you and your team members or your customers; or (e) unauthorized use of the Services through your account or credentials.

You may stop using the Services at any time. We may suspend or terminate your access (in whole or part) for breach of these Terms, suspected fraud or abuse, legal requirement, or extended non-payment. Upon termination, your license ends and remaining credits are forfeited (see Refund & Cancellation Policy). Sections that by nature survive termination (including Sections 3, 4, 7, 8, 9, and 11) survive.

We may retain and delete data after termination in accordance with the Privacy Policy. Export your data before closing your account.

These Terms are governed by the laws of India. Subject to any mandatory consumer-law rights in your place of residence, the courts of Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any dispute arising from these Terms or the Services.

Before filing any claim, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally for thirty (30) days.

We may update these Terms from time to time. Material changes will be notified in-app or by email, and continued use of the Services after the effective date constitutes acceptance. The current version and effective date are always shown at the top of this document.
